1. Introduction and Acceptance
Welcome to Almanac Academy (operated by OpenMind). By accessing or using our website (almanac.academy), platform, mobile applications, and associated services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.
2. Description of the Service
Almanac Academy is a gamified, mastery-based educational platform that utilizes Artificial Intelligence (the "Eternal Mentor") and decentralized ledger technology (the Polygon blockchain) to provide learning curriculums and issue collectible digital certificates.
3. Eligibility, Minors, and Web3 Features
To use the Service, you must be at least the age of digital consent in your jurisdiction (e.g., 14 in Spain, 13 in the US). If you are under 18, you must have verifiable parental or guardian approval to use the Service.
Trading and Transfer Capabilities: Users under the age of 18 are strictly prohibited from utilizing any blockchain-based transfer, trade, or marketplace features. If such features are enabled in the future, minors will only be permitted access upon successful completion of identity and parental consent verification through our third-party provider, Kids Web Services (KWS). Any attempt to bypass this verification will result in an immediate and permanent ban.
4. Virtual Currency, Subscriptions, and Refunds
Virtual Currency ("Potential")
The Service utilizes a virtual, in-game metric called "Potential" earned through gameplay and cognitive effort. "Potential" is strictly a closed-loop digital utility used solely to cover the costs of minting certificates on the platform. It has no real-world monetary value, cannot be cashed out, sold, or transferred outside the Service.
Subscriptions ("Explorer Pass")
We offer a premium subscription ("Explorer Pass") that grants ad-free access, limitless practice, and a monthly bonus of "Potential." All payments are processed via third-party providers (e.g., Stripe). Prices include applicable Spanish VAT (21%).
EU Right of Withdrawal & Refund Policy
If you are a resident of the European Union, you have the right to withdraw from your purchase of the "Explorer Pass" within 14 days without giving any reason, in accordance with the EU Consumer Rights Directive.
- Exercising the Right: To exercise this right, you must inform us of your decision to cancel via an unambiguous statement (e.g., via the cancellation function on your account page or by emailing our support team) before the 14-day period expires.
- Reimbursement: If you withdraw, we will reimburse all payments received from you without undue delay and no later than 14 days from the day we are informed of your decision.
- Loss of Right: If you expressly consent to begin using the digital content (such as spending your monthly "Potential" bonus to mint certificates) before the 14-day withdrawal period concludes, you acknowledge that you forfeit your right of withdrawal.
5. Blockchain Assets and Non-Custodial Wallets
Upon mastering a curriculum, users may spend "Potential" to "forge" (mint) a verifiable digital certificate on the Polygon blockchain.
- Soulbound & Tradeability: Currently, certificates are minted as "Soulbound" tokens (non-transferable). Almanac reserves the right, but has no obligation, to enable the conversion of these certificates into tradeable NFTs in the future.
- Randomized Outcomes: Minting pulls from a predetermined pool of limited rarities (Unique, Epic, Rare, Normal). By minting, you acknowledge that the outcome is randomized and Almanac does not guarantee the drop of any specific rarity.
- Network Risks: Almanac is not responsible for the Polygon network's uptime, network fees (gas), or potential loss of assets due to blockchain failures. While we pledge to attempt migration to a new active chain if Polygon fails, we are not legally liable for network deprecation.
No Custody (Privy Integration)
To facilitate the minting and holding of digital certificates, the Service utilizes embedded, non-custodial wallets provided by a third-party service (Privy).
- No Custody: Almanac Academy is not a crypto-asset exchange, broker, or custodian (as defined by EU MiCA regulations). We do not have access to, nor do we store, your private keys, seed phrases, or wallet credentials.
- User Responsibility: You are solely responsible for the security of your wallet credentials. Almanac Academy cannot recover lost wallets or reverse blockchain transactions. By using this feature, you acknowledge that you have total control over your digital assets and assume all risks associated with self-custody and blockchain network volatility.
6. Intellectual Property, AI Art, and Scraping Prohibition
Almanac IP: All original concepts, text, UI/UX, and underlying art assets are the exclusive property of Almanac Academy. The artwork provided in your certificates is originally commissioned by Almanac. We utilize AI upscaling and animation tools to enhance these assets.
User License: When you mint a certificate, Almanac grants you a worldwide, non-exclusive, personal license to display the art associated with your specific certificate. You do not own the underlying intellectual property, copyright, or commercial rights to the artwork or the Almanac brand.
Data Scraping and AI Training Prohibition
You agree not to use, nor permit any third party to use, any automated systems, bots, spiders, web crawlers, or software to extract, harvest, or scrape data, text, curriculums, or artwork from Almanac Academy. Furthermore, you strictly prohibit the use of our platform's proprietary content, including the outputs generated by the "Eternal Mentor," for the purpose of training, fine-tuning, or developing any commercial artificial intelligence models, Large Language Models (LLMs), or machine learning algorithms without our express written consent.
7. Artificial Intelligence Disclaimer
Our AI tutor ("Eternal Mentor") is structurally constrained to verified curriculums. However, generative AI is an emergent technology. Almanac does not warrant that AI-generated responses will be 100% accurate, error-free, or suitable for formal academic credit outside of the platform. The AI is designed as a supplementary learning tool. Users rely on AI-generated information at their own risk.
8. Chat Logs and AI Interactions
When you interact with our AI tutor ("Eternal Mentor"), your inputs, questions, and conversational data are processed to provide real-time educational feedback.
- Improvement of Service: We may anonymize, aggregate, and analyze these interactions to improve our platform's pedagogical accuracy, train our internal learning models, and ensure user safety.
- Privacy: We will never sell your individual chat logs to third-party data brokers. Off-topic, personal, or explicit inputs will be filtered and discarded in accordance with our internal safety guidelines.
9. User-Generated Content and Dedications
When minting a certificate, users may have the option to write a custom "dedication." Unlike the certificate itself, this text is stored off-chain in Almanac Academy's private databases and is linked to your anonymous Profile ID.
- Moderation: Almanac Academy reserves the right, at its sole discretion, to modify, redact, or permanently delete any custom dedication that contains hate speech, personally identifiable information (PII), profanity, or otherwise violates these Terms.
- Right to be Forgotten: Because this text is stored off-chain, if you exercise your right to delete your account, your dedication and off-chain profile data will be permanently erased, severing all ties to the immutable blockchain asset.
10. Data Privacy and the "Right to be Forgotten" (GDPR)
When you mint a certificate on the Polygon blockchain, the data permanently recorded on-chain is linked exclusively to an anonymous alphanumeric "Profile ID," not your legal name or explicit Personally Identifiable Information (PII). If you choose to delete your Almanac Academy account and exercise your GDPR "Right to be Forgotten," we will permanently delete your off-chain profile data. This severs the connection between your real-world identity and the Profile ID, effectively anonymizing the immutable on-chain record.
11. Personal vs. Institutional Use (Account Types)
The standard Almanac Academy Service and the "Explorer Pass" subscription are licensed solely for personal, non-commercial use by individual learners.
Commercial and School Deployment: Educational institutions, corporations, HR departments, or any entity seeking to deploy Almanac Academy for a cohort of students or employees must not use standard consumer accounts. Such deployments require a separate Institutional Master Services Agreement (MSA) and customized licensing. Please contact our enterprise team to establish a formal pilot program or B2B deployment.
12. Prohibited Conduct and Immediate Revocation
You agree not to use bots, scripts, automated systems, or exploits to artificially farm "Potential," manipulate mastery scores, or unfairly interact with the platform. You also agree not to hack the blockchain contracts or share accounts.
Zero-Tolerance Policy: Almanac Academy reserves the right to instantly suspend, revoke, or permanently terminate your account—without prior notice and without refund for any active subscriptions or purchased "Potential"—if our systems detect cheating, botting, or malicious exploitation of the learning engine.
13. Limitation of Liability
To the maximum extent permitted by law, Almanac Academy, its founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any blockchain network failures, smart contract bugs, or loss of digital assets; and (iv) unauthorized access, use, or alteration of your transmissions or content. The Service is provided "as is" and "as available."
14. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Spain and the European Union, without regard to its conflict of law provisions. Any legal actions or disputes shall be resolved exclusively in the appropriate courts in Spain.
15. Amendments
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
